1. DEFINITIONS

1.1. "BMLN" or "Service" refers to the Business Music Licensing Network web-based music player application and associated music catalog.

1.2. "Provider" or "We" refers to Jassonata OÜ and its affiliated companies.

1.3. "Client" or "You" refers to the business entity subscribing to the BMLN service.

1.4. "Music Catalog" refers to all music tracks available through the BMLN platform.

1.5. "Subscription" refers to the monthly service plan selected by the Client.

1.6. "Premises" refers to the Client's business location(s) authorized to use the Service.

2. ACCEPTANCE OF TERMS

2.1. By subscribing to BMLN, creating an account, or using the Service, you accept and agree to be bound by these Terms and Conditions.

2.2. If you do not agree to these Terms, you must not use the Service.

2.3. These Terms apply to all users of the BMLN platform.

3. SERVICE DESCRIPTION

3.1. BMLN provides a web-based music streaming service specifically designed for businesses requiring background music in commercial premises.

3.2. The Service includes:

  • Access to a curated music catalog owned and controlled by the Provider
  • Web-based music player accessible via browser on any device
  • Regular updates and additions to the music catalog
  • Basic technical support

3.3. The Service is intended solely for background music purposes in business environments such as hotels, SPAs, medical offices, waiting rooms, lobbies, and similar commercial spaces.

4. SUBSCRIPTION PLANS AND PRICING

4.1. Available Subscription Tiers:

  • Tier 1 (Basic): €15.00 + VAT/month - For businesses serving up to 30 clients simultaneously
  • Tier 2 (Standard): €30.00 + VAT/month - For businesses serving 31-100 clients simultaneously
  • Tier 3 (Premium): €60.00 + VAT/month - For businesses serving 101+ clients simultaneously

4.2. Subscription fees are billed monthly in advance.

4.3. All prices are subject to applicable VAT or other taxes as required by law.

4.4. The Provider reserves the right to modify pricing with 30 days' advance written notice.

4.5. Clients must select the tier appropriate to their business capacity. Underreporting capacity to access a lower-priced tier constitutes a material breach of these Terms.

5. ACCOUNT REGISTRATION

5.1. To use BMLN, you must create an account and provide accurate, complete, and current information.

5.2. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

5.3. You may not share your account credentials with third parties or allow others to access your account.

5.4. We reserve the right to suspend or terminate accounts that violate these Terms.

6. PAYMENT TERMS

6.1. Payment is due on the 1st day of each month for that month's service.

6.2. Accepted payment methods:

  • Bank transfer
  • Credit/debit card via Stripe

6.3. Failed or late payments may result in:

  • Late payment fees as specified in your Subscription Agreement
  • Suspension of service access after 15 days
  • Termination of service after 30 days

6.4. No refunds are provided for partial months or unused service time.

7. LICENSE GRANT

7.1. Subject to compliance with these Terms and payment of subscription fees, the Provider grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the BMLN platform
  • Stream music from the Music Catalog in your authorized business Premises

7.2. This license is solely for background music purposes in your commercial environment.

7.3. The license does not include the right to:

  • Download, copy, reproduce, or store music files
  • Modify, adapt, or create derivative works
  • Distribute, broadcast, or publicly perform the music outside your Premises
  • Use the music for advertising, marketing materials, or commercial productions
  • Sublicense or resell access to the Service

8. INTELLECTUAL PROPERTY RIGHTS

8.1. All music in the BMLN catalog is owned or controlled by the Provider or its affiliated companies.

8.2. All intellectual property rights in the BMLN platform, including software, design, trademarks, and logos, belong to the Provider.

8.3. You acquire no ownership rights in any music or platform content through your subscription.

8.4. The Provider warrants that all music in the catalog is free from third-party copyright claims and that your compliant use will not infringe third-party rights.

9. PROHIBITED USES

9.1. You agree NOT to:

  • Use the Service for any unlawful purpose
  • Download, record, or copy music from the platform
  • Circumvent any technical protection measures
  • Reverse engineer, decompile, or disassemble the platform
  • Use automated systems (bots, scrapers) to access the Service
  • Share your login credentials with others
  • Use the Service at locations not specified in your Subscription Agreement
  • Broadcast or stream the music beyond your authorized Premises
  • Use the music for commercial recordings or productions
  • Misrepresent your business capacity to access a lower-priced tier

9.2. Violation of these prohibitions may result in immediate termination and legal action.

10. MUSIC CATALOG

10.1. The Provider has sole discretion over the content, organization, and availability of the Music Catalog.

10.2. The Provider may add, remove, modify, or reorganize music at any time without notice.

10.3. The Provider does not guarantee the availability of specific tracks or genres.

10.4. Clients may request specific music styles, and the Provider will consider such requests but is not obligated to fulfill them.

11. SERVICE AVAILABILITY

11.1. The Provider will use commercially reasonable efforts to maintain Service availability.

11.2. The Provider does not guarantee uninterrupted or error-free service.

11.3. Service may be temporarily unavailable due to:

  • Scheduled maintenance
  • Technical issues
  • Internet connectivity problems
  • Force majeure events

11.4. The Provider is not liable for service interruptions beyond its reasonable control.

12. TECHNICAL SUPPORT

12.1. Technical support is available via email at support@bmln.app.

12.2. Support is provided during business hours: Business days 9:00-17:00.

12.3. The Provider will make reasonable efforts to respond to support requests within 1 business day.

12.4. Support includes assistance with platform access, playback issues, and account management.

13. DATA PROTECTION AND PRIVACY

13.1. The Provider processes personal data in accordance with applicable data protection laws, including GDPR.

13.2. Our Privacy Policy explains:

  • What data we collect
  • How we use and protect data
  • Your rights regarding your data

13.3. By using the Service, you consent to data processing as described in our Privacy Policy.

14. DISCLAIMERS AND WARRANTIES

14.1. Service Provided "As Is": The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

14.2. No Warranty of Uninterrupted Service: We do not warrant that the Service will be uninterrupted, timely, secure, or error-free.

14.3. Music Ownership Warranty: We warrant that all music in the catalog is owned or controlled by us and that your compliant use will not infringe third-party rights.

14.4. Suitability Disclaimer: We do not warrant that the music catalog will meet your specific business needs or preferences.

15. LIMITATION OF LIABILITY

15.1. To the maximum extent permitted by law, the Provider's total liability under these Terms is limited to the total subscription fees paid by you in the 12 months preceding the claim.

15.2. The Provider is not liable for:

  • Indirect, incidental, consequential, or special damages
  • Lost profits, revenue, or business opportunities
  • Business interruption or loss of data
  • Damages arising from service interruptions or technical issues

15.3. These limitations apply even if the Provider has been advised of the possibility of such damages.

15.4. Some jurisdictions do not allow limitation of liability for certain damages, so these limitations may not apply to you.

16. INDEMNIFICATION

16.1. You agree to indemnify, defend, and hold harmless the Provider, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use or misuse of the Service
  • Your breach of these Terms
  • Your violation of any law or third-party rights
  • Any unauthorized use of your account

17. TERM AND TERMINATION

17.1. Term: These Terms remain in effect as long as you maintain an active subscription.

17.2. Termination by You: You may terminate your subscription at any time with 30 days' written notice. No refunds for partial months.

17.3. Termination by Provider: We may terminate or suspend your access:

  • With 30 days' notice for any reason
  • Immediately for material breach of these Terms
  • Immediately for non-payment after 30 days
  • Immediately for prohibited use or fraudulent activity

17.4. Effect of Termination: Upon termination:

  • Your license to use the Service immediately ends
  • You must cease all use of the platform and music
  • You remain liable for any outstanding fees
  • Provisions regarding intellectual property, liability, and indemnification survive

18. MODIFICATIONS TO TERMS

18.1. We reserve the right to modify these Terms at any time.

18.2. We will provide notice of material changes via email or platform notification at least 30 days before they take effect.

18.3. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

18.4. If you do not agree to the changes, you must terminate your subscription.

19. MODIFICATIONS TO SERVICE

19.1. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

19.2. We will provide reasonable notice of material changes to the Service.

19.3. We are not liable for any modifications, suspensions, or discontinuations.

20. GOVERNING LAW AND DISPUTES

20.1. Governing Law: These Terms are governed by the laws of Estonia.

20.2. Jurisdiction: Any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Tallinn, Estonia.

20.3. Dispute Resolution: Before initiating legal proceedings, parties agree to attempt good-faith negotiation to resolve disputes.

21. GENERAL PROVISIONS

21.1. Entire Agreement: These Terms, together with your Subscription Agreement and Privacy Policy, constitute the entire agreement between you and the Provider.

21.2. Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.

21.3. Waiver: Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

21.4. Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may assign these Terms without restriction.

21.5. Force Majeure: Neither party is liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, internet outages, or government actions.

21.6. Language: These Terms may be translated into other languages. In case of conflict, the English version prevails.

22. ACKNOWLEDGMENT

By using BMLN, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
